Wolfspeed’s $1.5B Pentagon Loan: SiC Supply Impact
Up to $1.5 billion, four installments, a 30-year maturity: the headline terms are large, but the document behind them is a conditional loan commitment letter. Wolfspeed’s October 7, 2026 press release says so directly: “There can be no assurance that definitive agreements will be executed or that any financing will be provided.”
Does the loan secure North American SiC wafer supply?
Not yet. The Office of Strategic Capital (OSC) issued a commitment letter for “up to $1.5 billion of long-term financing,” structured as a senior secured delayed-draw term loan. The OSC describes Wolfspeed as “a vertically integrated U.S. manufacturer of SiC wafers, SiC power devices, and GaN-on-SiC wafers.” Until definitive agreements close, qualification and second-sourcing remain prudent.
What the filings say
Per Wolfspeed’s Form 8-K filed October 7, 2026 with the SEC:
- Equity: warrants of 5% plus 2.5%, up to 7.5% of fully diluted equity.
- Pricing: the Treasury rate plus a risk premium provisionally contemplated between 1.25% and 1.75%.
- Minimum Contribution: qualifying capital received after June 28, 2026 of “at least $750 million or such other amount determined by the OSC.”
- Use of proceeds: includes the buildout of domestic SiC wafer production.
Manufacturing Dive (October 8, 2026), citing the filing, reports four installments, the first $600 million and the rest $200 million to $400 million each, a 36-month commitment period, and volume at the Mohawk Valley Fab (Marcy, NY) and RTP (Durham, NC). The press release also lists GaN epitaxy upgrades, radiation hardening, and SiC materials and power devices across North Carolina, New York and Arkansas.
Conditional vs. closed: milestones to watch
| Item | Status today (per 8-K) | What closing would look like |
|---|---|---|
| Definitive agreements | Not executed | Signed loan documents |
| Minimum Contribution | At least $750 million, or an amount set by the OSC | Qualifying capital received and confirmed |
| Offtake | LOIs or agreements “on terms acceptable to the OSC”; no counterparties named | Disclosed offtake terms |
| Existing debt | Amendments or waivers required | Executed amendments |
| Diligence | To the OSC’s satisfaction | Diligence completion |
Financing is not allocation
No third-party wafer-supply commitment appears in the press release, the OSC release or the 8-K. Loan proceeds fund capacity; they do not assign output to outside buyers. Wolfspeed’s October 6, 2026 vendor claim of a premium 200 mm n-type SiC substrate, with “fewer than 0.01 micropipes per square centimeter, or fewer than three per wafer” verified by X-ray topography and backed by “dedicated capacity,” is a company statement; no price was disclosed. Buyers should ask for lot data, not headlines.
A dual-sourcing and qualification checklist
- Second source: qualify one on 150mm, matching diameter, polytype and conductivity type.
- COA fields: compare micropipe and dislocation density, resistivity, TTV, bow and warp lot by lot.
- Timing: qualify lots before need, not after a disruption.
- Buffer: bonded Toronto stock shortens the loop for qualified 150mm material.
- Contracts: get volume and lead-time terms in writing.
Our wafer specifications guide covers the parameters to agree with any supplier. Single-region concentration is also the theme of our gallium export controls analysis. For the 200mm cost question, see 200mm vs 150mm SiC.
Mihron Metalyx is an independent distributor, not affiliated with Wolfspeed. We supply 4H and 6H SiC substrates in 2–6 inch (up to 150mm), n-type and semi-insulating, with a Certificate of Analysis on every lot; see our Toronto distributor page.
Conclusion
The commitment is a meaningful signal of US government interest in domestic SiC capacity. It is not closed financing and not an allocation. Treat it as a milestone list: track the 8-K conditions, and keep a qualified second source in place.

Frequently asked questions
Is the Wolfspeed loan final?
No. It is a conditional loan commitment letter from the Office of Strategic Capital, announced October 7, 2026. Wolfspeed states there is no assurance that definitive agreements will be executed or that any financing will be provided. Conditions in the 8-K include a Minimum Contribution of qualifying capital and offtake LOIs or agreements on terms acceptable to the OSC.
Does a US government loan guarantee wafer allocation for third-party buyers?
Nothing in the press release, the OSC release or the 8-K commits wafer volume to any outside buyer. The offtake condition names no counterparties. Financing builds capacity; allocation is set by supply agreements, so buyers should confirm volume and lead times in writing with each supplier.
How can North American buyers dual-source SiC substrates?
Qualify a second source on the same diameter and polytype before it is needed. Compare Certificate of Analysis fields lot by lot, run qualification lots in parallel, and hold buffer stock close to the fab. Mihron Metalyx supplies 4H and 6H SiC substrates up to 150mm from bonded Toronto stock, with 48-hour quotes.
